Terms of Service

These Terms of Service govern your access to and use of the UGC Stock website, applications, marketplace, subscription products, creator tools, downloads, account features, support flows, and any related services we make available.

By accessing or using UGC Stock, creating an account, starting a subscription, purchasing access, downloading content, uploading content, or otherwise interacting with the platform, you agree to these Terms of Service and to any policies or legal documents referenced in them, including our Privacy Policy, License Terms, and other platform rules published on the site.

If you do not agree to these Terms of Service, you must not use UGC Stock.

In these Terms of Service, "UGC Stock", "we", "us", and "our" refer to the operators of the UGC Stock platform. "You" means the person or legal entity using the service.

"Account" means a registered user profile used to access platform features. "Content" means videos, thumbnails, previews, metadata, and related digital assets made available through the platform. "Subscription" means any recurring paid product we offer through checkout.

Where these Terms of Service refer to creators, buyers, or subscribers, those labels describe how you are using the platform at a given time and do not limit the broader application of these Terms.

You may use UGC Stock only if you are legally able to enter into binding agreements under applicable law and only if your use does not violate any laws, sanctions, restrictions, or contractual obligations that apply to you.

You are responsible for maintaining accurate account information, protecting your login credentials, controlling access to your devices and sessions, and notifying us promptly if you believe your account has been compromised or used without authorization.

You may not impersonate another person, create accounts by automated or deceptive means, share credentials in a way that bypasses intended access controls, or use another user's account without permission.

By using UGC Stock, you agree that we may send you service-related communications, including account notices, payment confirmations, renewal notices, security alerts, support replies, moderation decisions, legal updates, and operational announcements.

You are responsible for monitoring the email address associated with your account and for ensuring that messages from UGC Stock are not blocked or misrouted by your mail provider or internal systems.

Marketing communications may be optional where required by law, but service and transaction-related messages may still be sent when necessary for account administration, legal compliance, support, billing, or security purposes.

UGC Stock may offer paid subscriptions, including the UGC Stock Pro product currently described in our billing configuration. At the time of writing, recurring billing intervals offered on the platform include monthly, quarterly, and yearly terms, subject to change at checkout or by future product updates.

Your subscription begins when checkout is successfully completed and renews automatically at the selected billing interval unless cancelled before the next renewal date. Renewal charges are attempted using your saved payment method or another valid payment method associated with your account where permitted by law and the payment provider.

We may change pricing, features, plan availability, packaging, or billing providers over time. Unless otherwise required by law, those changes apply prospectively and do not retroactively rewrite a completed billing period.

You authorize UGC Stock and its payment providers to charge the fees, taxes, and other amounts disclosed at checkout for the products or services you select.

Applicable taxes, including VAT, sales tax, or similar charges, may be added where required by law based on billing location, tax status, or other relevant data. You are responsible for any duties, levies, withholding obligations, or similar charges associated with your use of the service except where law requires otherwise.

You may cancel a recurring subscription before renewal to avoid future charges. If you cancel, your access ordinarily remains active through the end of the current paid billing term unless otherwise stated. Because digital access and downloadable content may be made available immediately, fees are generally non-refundable except where required by law or where we expressly decide otherwise.

You may use UGC Stock only for lawful purposes and only in ways that are consistent with these Terms of Service, our License Terms, moderation rules, copyright procedures, payment rules, and any technical limitations we implement.

You must not misuse the platform, including by attempting to scrape protected resources, bypass authentication or rate limits, interfere with checkout or download systems, reverse engineer restricted functionality, upload unauthorized or infringing content, manipulate metrics, engage in fraud, or use bots or scripts in ways we do not permit.

We may monitor use of the platform, investigate suspected abuse, preserve logs and audit data, and take enforcement action where necessary to protect the service, our users, creators, buyers, vendors, or legal rights.

If you upload or submit content to UGC Stock as a creator or operator, you represent and warrant that you own that content or have all rights, permissions, releases, and authority necessary to upload, process, license, and monetize it through the platform.

By uploading content to UGC Stock, you grant UGC Stock a worldwide, non-exclusive, royalty-bearing license to host, store, reproduce, transcode, display, distribute, sublicense, and make available for download your content through the platform and its subscription products for the purpose of operating the marketplace and delivering content to subscribers and buyers, subject to the revenue-sharing terms applicable to your creator account. This license remains in effect for as long as your content is available on the platform and survives termination to the extent necessary to fulfill obligations to subscribers who lawfully downloaded the content during its availability.

You remain responsible for the legality, accuracy, clearance status, and compliance posture of the material you upload, including any metadata, titles, descriptions, tags, statements, likenesses, trademarks, music, voices, locations, or third-party materials appearing in or associated with it.

UGC Stock may moderate, review, restrict, reject, suspend, unpublish, or remove submitted content at any time, including when we suspect legal risk, policy violations, quality issues, fraud, abuse, mislabeling, rights conflicts, or other operational concerns.

Your rights to use content obtained through UGC Stock are governed primarily by the separate License Terms and any specific grant shown at checkout or within the relevant product flow.

Nothing in these Terms of Service expands the scope of a content license beyond what is expressly granted in the License Terms.

If you are unsure whether a use case is permitted, you must obtain clarification from UGC Stock before proceeding rather than assuming rights that have not been expressly granted.

UGC Stock, its licensors, and its rights holders retain all rights, title, and interest in the platform, software, service design, branding, content catalog, and all intellectual property not expressly licensed to you.

Except for the limited rights expressly granted under these Terms of Service and the applicable License Terms, no ownership or intellectual property rights are transferred to you by your use of the platform, subscription status, payment, or download history.

You may not copy, reproduce, sell, sublicense, publish, distribute, adapt, or exploit the platform or its content outside the rights explicitly granted to you.

UGC Stock may rely on third-party providers for hosting, storage, authentication, payment processing, content delivery, analytics, support tooling, communications, or other functions necessary to operate the service.

We are not responsible for downtime, restrictions, outages, processing errors, account holds, or policy decisions imposed by third-party providers, although we may work to mitigate their impact where commercially reasonable.

Your use of certain integrated or third-party services may also be subject to those providers' own terms, privacy notices, or operational rules.

We may suspend, restrict, terminate, or investigate your account, your access to content, your listings, your payouts, or your platform activity if we reasonably believe you have violated these Terms of Service, the License Terms, applicable law, payment rules, copyright procedures, or platform integrity requirements.

We may also take action where necessary to prevent fraud, reduce legal exposure, enforce moderation decisions, respond to complaints, comply with legal orders, preserve evidence, or protect other users or the platform itself.

Termination or suspension does not automatically cancel liabilities that arose before the enforcement action, including payment obligations, indemnity obligations, or restrictions on use of previously obtained content.

UGC Stock is provided on an as-available and as-is basis. To the maximum extent permitted by law, we do not guarantee uninterrupted availability, error-free operation, continuous access to any specific content item, or fitness of the service for your particular business model, regulatory environment, or intended use case.

We may modify, pause, discontinue, or remove features, creators, content categories, pricing structures, integrations, or operational workflows at any time.

We disclaim implied warranties except to the extent they cannot lawfully be excluded, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted performance.

To the maximum extent permitted by law, UGC Stock will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data, or expected savings arising from or related to your use of the service.

To the maximum extent permitted by law, our aggregate liability for claims arising out of or related to the service will not exceed the amount you paid to UGC Stock for the specific service giving rise to the claim during the twelve months preceding the event giving rise to liability.

Nothing in these Terms of Service excludes liability that cannot legally be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless UGC Stock and its affiliates, operators, service providers, and personnel from claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms of Service, your misuse of the platform, your unlawful uploads, your misuse of downloaded content, or your violation of third-party rights.

This indemnity includes claims arising from content you upload, statements you make through the platform, your client or downstream delivery arrangements, and your use of the service in regulated or legally sensitive environments.

Our Privacy Policy explains how we collect and process personal information connected to your use of UGC Stock, and our accessibility-related commitments may be described in separate site materials or policies.

We may change the platform, these Terms of Service, our pricing, our policies, and our legal documents from time to time. Updated terms become effective when posted unless a different effective date is stated by us.

Your continued use of UGC Stock after updated Terms of Service take effect means the revised version will govern your future use of the service to the extent permitted by law.

These Terms of Service are governed by the laws applicable to the operation of UGC Stock, excluding conflict-of-law principles to the extent permitted by law. If a dispute cannot be resolved informally, it will be handled in the competent courts or forums determined under the applicable governing law and procedural rules.
